Linking Agreement

In order to link to this site, you must accept this Agreement and agree to be bound by the terms of this Agreement to be authorised to establish a hyperlink (“the Link”) from your site (the “Host Site”) pointing to this site (the “Destination Site”) on the terms set forth below.

Assurant Intermediary Ltd, a company registered in England and Wales (registration company number 4019801).

Business Enterprises Only

You must be engaged in a lawful business enterprise. The Host Site must be a site used for a lawful commercial purpose.

The Link

The Link will point to the URL [www.assurantintermediary.co.uk] and will be described textually as "Assurant Intermediary Ltd". You and the Host Site may not use any trademark or service mark of Assurant Intermediary Ltd or any of its affiliated companies appearing on the Destination Site in support of the Link, without the prior written consent of a Assurant Intermediary Ltd.

Framing and Deep Linking

Unless otherwise agreed to in a separate written agreement with Assurant Intermediary Ltd, the Host Site may not use “framing” or similar boundary control technique to display the contents of the Destination Site to visitors that click on the Link. This restriction applies regardless of whether or not commercial advertisements appear in the frame border. Deep linking to content appearing in files below the Destination Site’s Uniform Resource Locator (“URL”) referenced above is not permitted. In other words, the Link shall be only to the home page of the Destination Site at the URL [www.assurantintermediary.co.uk].

Link Placement

The Host Company will give prompt and serious consideration to all reasonable requests of Assurant Intermediary Ltd concerning placement and appearance of the Link on the Host Site. The Host Company may, in its reasonable discretion, determine the style, substance and arrangement of links at its site, except as otherwise stated in this Agreement.

Site Control

This Agreement reflects a simple linking arrangement between two Internet sites that are independently owned and operated. Neither party is a publisher, distributor, agent, partner, franchiser or endorser of the other party's site, content or features. Assurant Intermediary Ltd retain exclusive control, editorial or otherwise, over the Destination Site and have the right to make administrative or operational decisions they deem necessary or helpful in the normal course of business, including the termination of the Destination Site.

Privacy of User Data

The Host Site or Host Company will not collect, use or disclose any personal information of site visitors, with respect to the Link, the Destination Site, or any navigation to the Destination Site, without full and prominent disclosure to visitors to the Host Site. Full and prominent disclosure shall include but not be limited to disclosure to the site visitor of all intended uses of the information, the nature of the information collected, and any persons to which it shall be disclosed, by placement of the disclosure on the screen where the Link appears, in a manner that a reasonable person would observe and understand its purpose. "Personal information" includes personal identity (including e-mail address), billing information and navigation of site visitors. The Host Site may not monitor, collect, use or disclose any information concerning any activity by the site visitor once the visitor has transferred to or entered the Destination Site. The Host Company must comply at all times with the Data Protection Act 1998.

Certain Responsibilities

The Host Site will not knowingly contain: (a) any content or feature which violates or infringes the rights of any person or which a reasonable person would consider abusive, profane or offensive, which is false or misleading, defamatory or harassing, excessively violent, or which violates or encourages others to violate any applicable law, or (b) any obscene, pornographic or sexually explicit materials. The Host Site's content and the Host Company will not disparage the Destination Site or present the Link in a manner that diminishes the Destination Site or Assurant Intermediary Ltd' goodwill or business reputation.

Hold Harmless

The Host Company agrees to indemnify, defend and hold harmless each Assurant Intermediary Ltd and its shareholders, directors, officers, employees, agents, parent companies, subsidiaries, affiliates, successors, and assigns from and against any and all liabilities, claims, suits, actions, demands, settlements, losses, judgments, damages and taxes, civil or criminal, and all costs and expenses (including reasonable legal fees), which any of them may incur or to which any of them may be subjected, arising out of, resulting from, or relating to, the breach of this Agreement by, or the negligent acts or omissions of, the Host Company or any of its employees, agents, representatives, or contractors.

No Liability

To the extent permitted by law, Assurant Intermediary Ltd shall not have any liability whatsoever, as a result of the Link on the Host Site or any navigation by a site visitor from the Host Site to the Destination Site as a result of the Link. The Link shall be the full and complete liability and responsibility of the Host Company. The Host Site shall clearly disclose to its site visitors that any link appearing on the Host Site to another site ("Non-Host Site") is not the responsibility of the owner or operator of the Non-Host Site.

Warranties and Liabilities

The Host Company warrants that: (a) it has duly registered the domain name of the Host Site with all applicable authorities and (b) the content and materials which it has placed on the Host Site or any hyperlink therefrom do not and will not infringe upon or violate (i) any copyright, patent, trademark or other proprietary right of a third party or (ii) any applicable law or regulation or any non-proprietary right of a third party. The parties to this Agreement do not intend that any of its terms will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person not a party to it.

Termination

Assurant Intermediary Ltd may immediately suspend the Link or terminate the Destination Site without prior written notice and shall not be obliged to notify the Host Company that this has been done. Upon becoming aware of such suspension or termination, the Host Company shall immediately remove the Link from the Host Site. Termination has no effect on the warranty and indemnity provisions of this Agreement.

Miscellaneous

This document reflects the entire agreement of the parties and supersedes all other communications and agreements regarding this subject, unless specifically otherwise stated in another written agreement and may be amended only in writing. English law governs this Agreement. The courts of England will have exclusive jurisdiction to settle any disputes which may arise out of or in connection with this Agreement. All rights not expressly granted are reserved.
